# Robust Governance

Who decides what changes, and how? Protocol control rests exclusively with long-term aligned $sNOON stakers through transparent, binding governance.

## <mark style="color:yellow;background-color:$warning;">**Protect**</mark>

Nothing critical within the <mark style="color:purple;">**Noon**</mark> Protocol changes silently or behind closed doors. Governance is designed to ensure that control over protocol parameters, risk thresholds, and capital deployments sits firmly with committed, long-term participants rather than short-term speculators or centralized insiders.

Voting power is reserved exclusively for <mark style="color:violet;">**$sNOON**</mark> stakers, with influence mathematically weighted by commitment length up to 4 years (48 months).

## <mark style="color:$primary;">1. Voting Authority: Power to</mark> <mark style="color:violet;">**$sNOON**</mark> <mark style="color:$primary;">Stakers</mark>

Governance rights in <mark style="color:purple;">**Noon**</mark> are not granted to liquid, unstaked tokens. To align decision-making with the multi-year health of the protocol, governance voting power belongs exclusively to $sNOON stakers.

#### The 48-Month Commitment Curve

Voting weight is scaled exponentially based on the selected staking lockup duration:

* **Long-Term Alignment:** A user staking <mark style="color:violet;">**$sNOON**</mark> for 4 years (48 months) receives 100% maximum voting power.
* **Proportional Influence:** Shorter staking lockups unlock a smaller fraction of voting weight per token. A 4-year staker holds nearly six times the voting influence of a 12-month staker holding the same number of tokens.
* **Mercenary Protection:** Liquid <mark style="color:violet;">**$sNOON**</mark> holders and short-term traders have zero voting power, preventing hostile governance takeovers or short-term yield farming exploits.

## <mark style="color:$primary;">2. Governance Scope: What Is Voted On?</mark>

To balance operational efficiency with community control, governance votes are focused exclusively on high-impact structural decisions:

* **New Yield Strategy Approvals:** Voting to approve, reject, or mandate the unwinding of capital deployment strategies (e.g., T-Bills, JAAA CLOs, Delta-Neutral Perps, Private Credit).
* **Counterparty & Venue Selection**: Approving new off-chain custodians, institutional brokers, and execution venues.

## <mark style="color:$primary;">3. The 4-Stage Proposal Lifecycle</mark>

Every structural change follows a mandatory 4-stage public pipeline:

1. **Independent Risk & Tech Analysis:** Before any proposal reaches the community, protocol engineers and risk analysts produce a comprehensive risk assessment detailing smart contract safety, counterparty exposure, liquidity profiles, and stress-test results.
2. **Public Forum Discussion (7-Day Minimum):** The proposal and its accompanying risk assessment are published to kick off a mandatory public discussion on the governance forum. Community members, risk managers, and core contributors debate parameters, request clarifications, and refine mechanics.

3. **Binding**&#x20;

**$sNOON Vote ($7-Day Minimum):** Proposals move to an open, binding vote on Snapshot. Voting power is calculated dynamically based on each voter's **$sNOON** balance and position along the 48-month commitment curve.

4. **Timelocked Multisig Execution:** Passed proposals are queued on-chain for execution by the Multisig.
   1. **48-Hour Public Timelock:** Non-emergency upgrades are subjected to a mandatory 48-hour delay. This allows stakers and integrators to inspect queued changes on-chain—and exit positions if they object—before execution.
   2. **Emergency Rollback Guardrail:** Authorized security roles retain an emergency capability to cancel a malicious or flawed pending upgrade during the 48-hour window. Emergency interventions cannot transfer or redirect funds; they serve strictly to halt unauthorized changes before execution.
